Terms of Service

Plain-English summary. These are the rules for using Poros. You own your data and your money. We provide software and route payments through Stripe. We try hard to keep the service running, but you accept it as-is and are responsible for how you use it. If something breaks badly because of us, our liability is limited. The full legal text follows.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Poros (the "Service"), a software service operated by Springrock Ventures LLC ("Springrock", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

These Terms apply to all users of the Service, including homeowner associations ("HOAs") that use Poros to manage billing and collect payments, board members and administrators acting on behalf of those HOAs, and residents who pay bills through the Service.

2. Description of Service

Poros is property management software that allows HOAs to create and send bills to residents, accept online payments, and reconcile those payments automatically. Payment processing is handled by Stripe, Inc. ("Stripe"). Each HOA maintains its own connected Stripe Express account; funds flow directly from residents to the HOA's bank account, net of Stripe processing fees and any applicable Poros platform fees.

Poros does not hold, transmit, or take possession of HOA or resident funds at any time. All money movement occurs between residents, Stripe, and the HOA's bank account.

3. Account Registration and Security

To use the Service, you must register an account or be invited to an existing account. You agree to provide accurate, current, and complete information and to keep that information current. You are responsible for safeguarding your password and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use.

HOAs are responsible for managing access among their board members and residents, including promptly removing access when board members leave or residents move out.

4. HOA Responsibilities

By using the Service, the HOA represents and agrees that:

  • It is a duly organized and existing legal entity authorized to bill residents and collect dues under its own governing documents and applicable law;
  • All billing data, meter readings, rate schedules, and resident information entered into the Service is accurate;
  • It is solely responsible for communicating with its residents about billing, late fees, payment plans, and disputes;
  • It will comply with all applicable laws, including consumer-protection, debt-collection, and privacy laws, in its use of the Service;
  • It is responsible for completing Stripe's identity verification ("Know Your Customer") and accepting Stripe's Connected Account Agreement before accepting payments through the Service.

5. Payment Processing and Stripe

Payments through the Service are processed by Stripe under Stripe's Connected Account Agreement and Stripe Services Agreement. By accepting payments through Poros, the HOA agrees to be bound by Stripe's terms in addition to these Terms.

Springrock is not a party to the payment relationship between the resident, Stripe, and the HOA. We do not process refunds, mediate chargebacks or disputes, or hold funds on behalf of any party. Refunds and chargebacks are handled directly between the HOA, the resident, and Stripe, subject to Stripe's policies. The HOA is solely responsible for any liability associated with chargebacks, disputed transactions, or negative balances on its connected account.

Stripe processing fees and the Poros platform fee (currently $0.50 per transaction; subject to change with thirty (30) days' notice) are deducted from the gross payment amount before funds settle to the HOA's bank account.

6. Acceptable Use

You agree not to:

  • Use the Service to bill for goods or services that are unlawful, fraudulent, or that violate the HOA's governing documents or local law;
  • Attempt to gain unauthorized access to the Service, other users' accounts, or any related systems;
  • Use the Service to send unsolicited communications outside the legitimate billing relationship with residents;
  • Reverse engineer, decompile, or attempt to derive the source code of the Service;
  • Interfere with or disrupt the integrity or performance of the Service.

We may suspend or terminate accounts that violate these provisions, with or without notice depending on the nature of the violation.

7. Fees

Poros charges a per-transaction platform fee of $0.50 (the "Platform Fee"), deducted automatically from each payment processed through the Service. Stripe processing fees are separate and pass through to the HOA at Stripe's then-current rates. Pricing may change with at least thirty (30) days' prior notice. Continued use of the Service after a fee change constitutes acceptance of the new fees.

We do not currently charge HOAs a monthly subscription fee. If subscription pricing is introduced in the future, existing HOAs will be notified and given thirty (30) days' notice before any change takes effect.

8. Intellectual Property

The Service, including all software, design, text, graphics, logos, and other materials (collectively, "Service Content"), is owned by Springrock or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any Service Content without our prior written consent.

You retain all rights to the data you upload to the Service ("Customer Data"). You grant us a limited, non-exclusive license to host, process, and display Customer Data solely for the purpose of providing the Service to you.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the maximum extent permitted by applicable law, Springrock disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, reliability, security, or uninterrupted availability.

We do not warrant that the Service will be error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components. You acknowledge that the Service depends on third-party providers (including Stripe, our email provider, and our cloud infrastructure) whose availability is outside our control.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SPRINGROCK, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100), OR (B) THE TOTAL AMOUNT OF PLATFORM FEES YOU PAID TO SPRINGROCK IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limitations apply regardless of the legal theory of the claim (contract, tort, negligence, strict liability, statute, or otherwise) and regardless of whether Springrock was advised of the possibility of such damages.

Specifically and without limitation, Springrock is not liable for:

  • Failed, delayed, reversed, or disputed payments processed through Stripe;
  • Chargebacks, refunds, or negative balances on an HOA's connected Stripe account;
  • Errors in billing data entered by HOA administrators (meter readings, rates, resident contact information);
  • Communications sent by HOAs to residents through the Service that the HOA composes or schedules;
  • Decisions made by an HOA regarding payment plans, late fees, delinquency, or collections;
  • Tax reporting obligations of the HOA, including the issuance of 1099-K forms by Stripe;
  • Loss of access to the Service due to a third-party provider outage (Stripe, hosting, email);
  • Any matter outside Springrock's direct control.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Springrock, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or contractual right; or (d) any dispute between you and a third party, including residents and other HOA members.

12. Termination

Either party may terminate these Terms at any time. You may stop using the Service and may request data export by emailing us at hello@poroshq.com. We may suspend or terminate your access to the Service if you violate these Terms or for operational reasons (including discontinuation of the Service), with reasonable notice when practical.

Upon termination, your right to access the Service ends immediately. Sections 4-11 and 13-16 survive termination.

13. Modifications to the Service and Terms

We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We may revise these Terms from time to time; revisions take effect thirty (30) days after we post them or notify you by email, whichever is earlier. Continued use of the Service after revisions take effect constitutes acceptance of the revised Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in San Francisco County, California, and the parties consent to personal jurisdiction and venue there.

15. General Provisions

These Terms constitute the entire agreement between you and Springrock regarding the Service and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions will continue in full force. Our failure to enforce any right or provision will not constitute a waiver. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
